3. Client Responsibilities

As a client, you agree to:

  • Grant necessary access to your website, social media accounts, and analytics platforms
  • Review and approve marketing materials and strategies in a timely manner
  • Provide feedback and communicate regularly with our team
  • Ensure you have the legal right to use any content, trademarks, or materials provided

  • Maintain the security of your accounts and credentials

4. Payment Terms

4.1 Pricing and Invoicing

All services are billed according to the agreed-upon pricing structure. Prices are subject to change with 30 days' written notice. Invoices will be sent monthly or as per the agreed schedule.

4.2 Payment Schedule

Payment is due within 15 days of invoice date unless otherwise specified. Late payments may result in service suspension and additional fees.

4.3 Refunds and Cancellations

We do not offer refunds for completed work. Cancellations require 30 days' written notice. Unused prepaid services may be credited or refunded at our discretion.

5. Service Delivery and Timeline

We strive to deliver high-quality services within agreed timelines. However, delivery times may vary based on:

  • Project complexity and scope
  • Client feedback and approval processes
  • Third-party platform changes or limitations
  • Force majeure events

We will communicate any delays promptly and work to minimize their impact.

6. Intellectual Property Rights

6.1 Client Content

You retain ownership of your original content, trademarks, and intellectual property. You grant us a limited license to use this content for service delivery.

6.2 Our Work

We retain ownership of our proprietary methodologies, tools, and templates. Upon full payment, you receive a license to use the final deliverables for your business.

6.3 Third-Party Content

We may use stock photos, fonts, or other third-party content. You are responsible for any licensing fees for continued use after our engagement ends.

7. Confidentiality and Non-Disclosure

Both parties agree to maintain the confidentiality of:

  • Business strategies and proprietary information
  • Client lists and customer data
  • Financial information and pricing
  • Technical methodologies and processes

This obligation survives the termination of our agreement for a period of 3 years.

8. Performance and Results

8.1 No Guarantees

While we use industry best practices, we cannot guarantee specific results such as rankings, traffic increases, or conversion rates. Digital marketing success depends on many factors beyond our control.

8.2 Industry Standards

We commit to delivering services that meet or exceed industry standards. We will provide regular reports and recommendations based on data analysis.

8.3 Client Cooperation

Results depend significantly on client cooperation, including timely approvals, access to necessary platforms, and implementation of recommendations.

9. Limitation of Liability

Our liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Third-party actions or platform changes
  • Delays caused by client inaction or approval processes

10. Indemnification

You agree to indemnify and hold us harmless from any claims arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your content or materials
  • Your business practices or compliance issues

11. Termination

11.1 Termination by Client

You may terminate services with 30 days' written notice. You remain responsible for payment of services rendered up to the termination date.

11.2 Termination by Us

We may terminate services for:

  • Non-payment or repeated late payments
  • Violation of these Terms
  • Unreasonable demands or behavior
  • Illegal or unethical activities

11.3 Post-Termination

Upon termination, we will provide a final report and transfer any remaining deliverables. Access to our tools and platforms will be revoked.

12. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including:

  • Natural disasters or weather events
  • Government actions or regulations
  • Internet or technology failures
  • Third-party service disruptions

13. Dispute Resolution

Any disputes will be resolved through:

  1. Direct communication and negotiation
  2. Mediation if direct resolution fails
  3. Legal proceedings in Bangalore, India courts if necessary

14. Governing Law

These Terms are governed by the laws of India. Any legal proceedings will be conducted in Bangalore, Karnataka.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between parties regarding our services. Any prior agreements or understandings are superseded.

17. Changes to Terms

We may update these Terms from time to time. Changes will be posted on our website with an updated effective date. Continued use of services constitutes acceptance of updated Terms.
